Introduction
This Fair Use Policy (“Policy”) outlines the terms and conditions for the use of Soroco’s products (“Software”) and is designed to ensure a fair and equitable usage of the Software by users. This Policy is intended to protect the interests of Soroco and maintain the overall performance and availability of the Software for all users.
By accessing or using the Software, you (“User”) agree to comply with this Fair Use Policy.
Permitted Usage
1.1. License Agreement: The User’s use of the Software is subject to the terms and conditions of the applicable license agreement or terms of service provided by Soroco. This Fair Use Policy supplements those terms and conditions and outlines additional usage guidelines.
1.2. Intended Use: The Software is intended for the User’s legitimate business purposes and in compliance with all applicable laws and regulations.
1.3. Non-Exclusive License: The User acknowledges that the use of the Software is granted under a non-exclusive license and that Soroco may provide the Software to other users.
Prohibited Usage
2.1. Unauthorized Access: Users shall not attempt to gain unauthorized access to the Software, its servers, or any other systems or networks associated with the Software.
2.2. Reverse Engineering: Users shall not reverse engineer, decompile, or disassemble the Software or any portion thereof, except to the extent that such activities are expressly permitted by applicable law.
2.3. Distribution and Resale: Users shall not distribute, sublicense, rent, lease, sell, or resell the Software or any portion thereof without prior written consent from Soroco.
2.4. Malicious Use: Users shall not use the Software to engage in any illegal, fraudulent, harmful, or malicious activities, including but not limited to hacking, data breaches, or any activities that may negatively impact the security, availability, or integrity of the Software.
2.5. Excessive Usage: Users shall not engage in excessive or abusive use of the Software that may affect the performance or availability of the Software for other users. The determination of excessive usage shall be based on factors such as server load, network traffic, and overall resource utilization.
Usage Limits
3.1. Fair Usage: Users shall use the Software in a manner consistent with fair and reasonable use, which includes using the Software within the normal and expected parameters for the intended purposes.
3.2. Usage Monitoring: Soroco reserves the right to monitor the User’s usage of the Software to ensure compliance with this Policy. Such monitoring may include, but is not limited to, the amount of data transferred, the frequency of usage, and any other metrics deemed relevant.
3.3. Limitations: Soroco may impose limitations on the amount of Software usage by each User. These limitations may include but are not limited to the total number of transactions, and data storage limits.
Policy Enforcement
4.1. Violation of Policy: Any material violation of this Policy may result in Soroco taking appropriate action, including but not limited to suspending or terminating the User’s access to the Software, reducing or restricting usage, or pursuing legal remedies as applicable.
4.2. Notification: Soroco will make reasonable efforts to notify the User in writing in case of any violations of this Policy. However, Soroco reserves the right to take immediate action without prior notice if necessary to protect the integrity and performance of the Software.
